Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and DentalSupplyPrices ("DentalSupplyPrices," "we," "our," or "us"). By using dentalsupplyprices.com and related services (the "Service"), you agree to these Terms.

If you use the Service on behalf of a company or dental practice, you confirm that you have authority to bind that organization to these Terms.

2. What the Service does

The Service helps users analyze supply invoices, compare pricing against regional benchmarks, and generate savings insights.

We are not a law firm, accounting firm, procurement broker, insurer, or financial advisor. Reports are informational tools only and are not guarantees of savings or outcomes.

3. Your uploads and your responsibility

You may upload invoices, files, text, and related data ("User Content"). You are solely responsible for User Content and for your use of any report generated from it.

By uploading User Content, you represent and warrant that:

  • You own it or have all rights and permissions needed to upload and use it.
  • Your upload and our use of it under these Terms do not violate any law, contract, or third-party rights (including privacy, confidentiality, copyright, and trade secret rights).
  • You will not upload content that is fraudulent, unlawful, malicious, or intended to disrupt the Service.

4. License you grant to DentalSupplyPrices for uploaded content

You retain ownership of User Content. However, you grant DentalSupplyPrices a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, process, analyze, transform, display, and use User Content as needed to:

  • Operate, maintain, and improve the Service.
  • Create and deliver your reports, benchmarks, and recommendations.
  • Train, tune, quality-check, and support our analysis systems and workflows.
  • Create de-identified and/or aggregated datasets, statistics, benchmarks, trends, and insights.
  • Enforce these Terms and comply with legal obligations.

This license continues for as long as necessary to provide the Service, comply with law, resolve disputes, and preserve de-identified/aggregated insights that do not identify you.

5. Aggregation, benchmarking, and data use

The Service relies on pooled market intelligence. You acknowledge and agree that data from your uploads may be used to calculate averages, pricing ranges, and other benchmark outputs across users, regions, products, and categories.

We do not intend to publicly share your full raw invoices with other users. However, you agree that DentalSupplyPrices may use uploaded data in transformed, excerpted, de-identified, and/or aggregated form to produce comparative insights and improve the Service.

6. Privacy and security

We use commercially reasonable administrative, technical, and organizational safeguards, but no system is 100% secure. You acknowledge that transmission and storage of data carry inherent risk.

You are responsible for deciding whether your upload includes sensitive information and whether uploading such information is lawful for your organization.

7. Prohibited use

You may not:

  • Use the Service in violation of law or third-party rights.
  • Attempt to reverse engineer, scrape, overload, or disrupt the Service.
  • Access data you are not authorized to access.
  • Use the Service to build a competing product through unauthorized extraction.

8. Suspension and termination

We may suspend or terminate access at any time if we reasonably believe there is a legal, security, abuse, or Terms violation risk.

Upon termination, your right to use the Service ends immediately, but sections that by nature should survive (including licenses, disclaimers, liability limits, indemnity, and dispute terms) will survive.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTALSUPPLYPRICES DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that reports will be complete, accurate, or suitable for any specific decision.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTALSUPPLYPRICES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF DENTALSUPPLYPRICES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DENTALSUPPLYPRICES FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless DentalSupplyPrices and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your User Content.
  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any law or third-party rights.

12. Dispute resolution; class action waiver

Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally.

Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and not in court. You and DentalSupplyPrices waive any right to a jury trial and any right to participate in a class, collective, or representative proceeding.

If a court decides this arbitration section is unenforceable for a particular dispute, then that dispute must be brought exclusively in the courts located in Ontario, Canada, and you consent to those courts' personal jurisdiction.

13. Governing law

These Terms are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the effective date. By continuing to use the Service after changes become effective, you agree to the updated Terms.
