Terms of Service

The terms that govern your organization’s use of DentalSupplyPrices.

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and DentalSupplyPrices ("DentalSupplyPrices," "we," "our," or "us") for your use of dentalsupplyprices.com and our related services (the "Service").

By creating an account, accepting these Terms during onboarding, or using the Service, you agree to these Terms and acknowledge our Privacy Policy.

If you use the Service for a dental practice, professional corporation, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization.

2. Eligibility and intended use

The Service is intended for lawful business and professional use by Canadian dental practices, clinic operators, and their authorized personnel. You must be at least the age of majority where you live and capable of entering a binding agreement.

3. What the Service does

The Service helps organizations search and compare dental-supply products, view supplier-specific pricing and promotions, connect supplier accounts, import and analyze purchase history and invoices, track products, and receive price or product notifications.

We may use automated retrieval, optical character recognition, rules, matching logic, and machine-learning tools to provide these features. The Service is informational software. It is not legal, accounting, tax, clinical, insurance, or procurement advice and does not guarantee savings or other business outcomes.

4. Accounts, security, and organizations

You must provide accurate information and keep it current. You are responsible for activity under your account and for maintaining the security of your devices, email access, login codes, supplier credentials, and integrations. Tell us promptly if you suspect unauthorized access or a security incident involving your account.

Organization owners and administrators are responsible for the users they invite, the roles and permissions they grant, and their authority to provide information and connect accounts on the organization's behalf. A user's access to organization data may continue until an administrator removes that access.

5. Supplier accounts and third-party services

If you connect a supplier account, you authorize us to use the credentials you provide to access that account on your behalf for enabled Service features, including catalogue searches, account-specific price and promotion checks, session maintenance, and invoice retrieval.

You represent that you are authorized to use each connected account and to direct us to access it. You must comply with the supplier's terms and policies. We are not affiliated with or endorsed by third-party suppliers unless expressly stated, and suppliers may change or restrict their websites, prices, data, or access at any time.

The Service also interoperates with third-party services such as Stripe, Google Analytics, hosting, storage, email-delivery, and document-processing providers. Your use of those services may be governed by their own terms and policies.

6. Your content and permissions

You may provide supplier credentials, invoices, documents, product selections, corrections, feedback, organization information, and other data or materials ("User Content"). You retain your rights in User Content.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, analyze, modify, display, and otherwise process User Content only as reasonably needed to operate, secure, support, troubleshoot, and improve the Service for you and your organization; comply with law; and create aggregated or de-identified analytics and benchmarks that do not identify you or your organization as their source.

You represent and warrant that you own User Content or have all permissions needed to provide and use it with the Service, and that doing so does not violate any law, confidentiality duty, contract, or third-party right. Do not upload patient charts, treatment information, or other personal health information.

7. Product, price, promotion, and invoice information

Supplier information can be delayed, incomplete, account-specific, or incorrect. Prices may exclude taxes, shipping, minimum orders, contract terms, eligibility requirements, or other charges. Promotions may expire or be subject to additional supplier terms. Product images, descriptions, packaging, availability, and groupings may differ from the item ultimately supplied.

Invoice extraction and product matching are automated in part and may contain errors. You are responsible for confirming current price, availability, product identity, promotion eligibility, invoice details, and purchase terms directly with the supplier before relying on them.

8. Acceptable use

You may not:

  • use the Service unlawfully or in violation of professional duties, contracts, or third-party rights;
  • connect or access an account without authorization;
  • upload malicious code or content intended to disrupt or compromise the Service;
  • attempt to bypass access controls, usage limits, security measures, or supplier restrictions;
  • interfere with the Service or gain unauthorized access to systems, accounts, or data;
  • reverse engineer the Service except to the limited extent the restriction is prohibited by law;
  • scrape, crawl, resell, sublicense, publish, or systematically extract Service data except through features we expressly provide or with our written permission;
  • use the Service or its output to build a competing product or dataset; or
  • misrepresent prices, promotions, benchmarks, or your relationship with us or a supplier.

9. Fees, subscriptions, and billing

Some features require a paid subscription. Prices, taxes, billing frequency, included features, and any promotional terms are shown at checkout or in an order form. Payments and subscription management are processed by Stripe.

Unless checkout or an order form says otherwise, paid subscriptions renew automatically for successive billing periods until cancelled. You authorize recurring charges to your selected payment method. You can manage or cancel a subscription through the billing portal; cancellation takes effect at the end of the current paid billing period unless stated otherwise.

Fees are non-refundable except where required by law or expressly stated in writing. We may change fees or plan features on advance notice, with changes applying no earlier than your next renewal where required.

10. Intellectual property and feedback

The Service, including its software, design, branding, product groupings, and non-user content, is owned by DentalSupplyPrices or its licensors and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your organization's internal business purposes.

If you give us feedback or suggestions, you authorize us to use them without restriction or compensation, provided we do not publicly identify you as their source without permission.

11. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. You are responsible for giving any notices and obtaining any consents required for User Content and connected accounts you provide.

12. Changes, suspension, and termination

We may add, change, suspend, or discontinue parts of the Service. We may limit, suspend, or terminate access if we reasonably believe there is a security or legal risk, abuse, unpaid fees, a supplier restriction, or a breach of these Terms.

You may stop using the Service at any time and may cancel a paid subscription as described above. On termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including payment obligations, licences needed for retained data, intellectual property, disclaimers, liability limits, indemnity, and disputes.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, CONTINUED ACCESS TO ANY SUPPLIER, OR THAT ANY PRICE, PROMOTION, PRODUCT MATCH, INVOICE EXTRACTION, ALERT, REPORT, OR RECOMMENDATION WILL BE COMPLETE, CURRENT, ACCURATE, OR APPROPRIATE FOR A PARTICULAR DECISION.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTALSUPPLYPRICES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, SAVINGS, PURCHASING OPPORTUNITIES, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) CAD $100.

Nothing in these Terms excludes liability or rights that cannot lawfully be excluded or limited.

15. Indemnity

You agree to indemnify and hold harmless DentalSupplyPrices and its affiliates, officers, directors, employees, contractors, and licensors from third-party claims, liabilities, damages, and reasonable costs arising from your User Content, connected accounts, misuse of the Service, or breach of these Terms, to the extent permitted by law.

16. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Unless applicable law requires otherwise, the courts located in Ontario, Canada have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party attorns to those courts.

17. General terms

These Terms and any applicable order form are the entire agreement about the Service and replace prior discussions on that subject. If an order form conflicts with these Terms, the order form controls for that conflict. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a corporate transaction or by operation of law. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.

18. Electronic communications and changes

You agree that we may provide notices, disclosures, and records electronically through the Service, by email, or by posting them on our website.

We may update these Terms. We will post the updated version and revise the effective date. If changes are material, we will provide additional notice where required. Continued use after updated Terms take effect constitutes acceptance; if you do not agree, you must stop using the Service.
